Kate joined Kelly & Co. in September 2009 following several years as sole Legal Counsel & Company Secretary for ASX-listed mining company Terramin Australia Limited. Prior to her role with Terramin, Kate worked in the Corporate Advisory practice of major Adelaide law firm, Finlaysons Lawyers.
Kate practises in the areas of companies and securities law, including equity capital raising (for both listed and unlisted public and private companies) and mergers and acquisitions (in particular, private treaty acquisitions and divestments), and has a broad practice in general commercial law.
Kate provides advice on the obligations of companies and their officers under the Corporations Act and ASX Listing Rules including in relation to related party transactions, directors' duties and continuous disclosure obligations. She also regularly advises clients on the application of the Foreign Acquisitions and Takeovers Act in the M&A context.
Kate has particular experience in advising publicly listed companies with respect to their fundraising activities, including institutional placements, rights issues and share purchase plans.
Kate has extensive commercial contract drafting and negotiation experience, including in relation to supply and procurement arrangements for clients in a range of industries, in particular energy and resources and mining services.
Kate is a member of AMPLA, the Resources and Energy Law Association. Kate is also a member of the Law Society of South Australia and the Law Council of Australia's Business Law Section Corporations Committee.
